Terms of Service

These Terms govern your access to and use of Marq-OS (the “Service”). By creating an account, you (“Customer”, “you”) agree to them on behalf of yourself and any organization you represent. If you do not agree, do not use the Service.

1. Account

  • You must be at least 18 and have authority to bind any organization you sign up for.
  • You’re responsible for safeguarding your credentials and every action taken under your account; enable MFA from Settings → Security.
  • One person, one login. Don’t share credentials between humans — invite teammates as additional seats instead.

2. The Service

Marq-OS is a multi-tenant SaaS platform that lets you install, configure, and run AI “connectors” that ship work to external services. We may add, remove, or change connectors and platform features over time. We’ll give 30 days’ notice before removing a connector that you have actively used in the last 90 days.

3. Subscription, billing, and refunds

  • Plans are billed monthly in advance through Razorpay. Prices display in USD; if your payment instrument is INR, you’re charged in INR at the day’s rate. GST invoices are emailed within 24 hours of payment.
  • You can cancel anytime from Settings → Billing. Cancellation stops the next renewal; you keep access through the end of the current billing period.
  • Usage above your plan’s included quota may be billed at the overage rate listed on the pricing page.
  • Refunds: we refund the unused portion of the current month’s charge if you cancel within 7 days of a renewal and have used less than 10% of your quota. Outside that window, we generally do not refund — write to support@marq-os.com for case-by-case review.
  • Failed payments: we retry for 14 days. After that the account is suspended; data is retained for the standard 30-day grace period before deletion.
  • Price changes: we’ll give 30 days’ notice before raising prices on an active subscription. You may cancel before the new price takes effect.

4. Acceptable use

You agree not to, and not to permit anyone to:

  • Use Marq-OS or any connector in violation of law or any third-party terms (e.g. Linkedpulse must comply with LinkedIn’s rules; using it for spam or fake-engagement schemes is prohibited).
  • Use the Service to harass, defame, impersonate, infringe IP, or distribute malware.
  • Generate or distribute content that exploits or endangers minors, incites violence, or spreads non-consensual intimate imagery.
  • Reverse-engineer, decompile, scrape, or attempt to derive the source code of the Service except as permitted by law.
  • Probe, scan, load-test, or otherwise impair the Service’s integrity. Coordinated security research is welcome — write to security@marq-os.com first.
  • Resell the Service or sublicense access without our prior written consent.

We may suspend or terminate accounts that violate this section, with or without notice depending on severity.

5. Customer content and AI output

  • Ownership: you retain all rights to content you submit (“Customer Content”) and to AI outputs generated for you, subject to the terms of any underlying model provider.
  • License to us: you grant Marq-OS a worldwide, royalty-free license to use, host, transmit, and process Customer Content solely to provide and operate the Service.
  • No training on your content: we do not use Customer Content to train Marq-OS models, and our agreements with sub-processors prohibit them from training on it as well.
  • AI outputs aren’t guaranteed accurate. You are responsible for reviewing AI-generated content before publishing or acting on it.

6. Service levels

The Service is provided on a best-effort basis. Scale and Enterprise plans are covered by a 99.95% monthly uptime SLA with service credits as specified in your order; lower-tier plans are not. Scheduled maintenance windows and force-majeure events do not count against SLA.

7. Confidentiality

Each party will protect the other’s non-public information with at least the same care it uses for its own confidential information, and at minimum reasonable care. Customer Content is your Confidential Information.

8. Warranties and disclaimers

We warrant that the Service will materially conform to its documentation. Other than as expressly stated, the Service is provided “as is” and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law:

  • Neither party is liable for indirect, incidental, special, or consequential damages, including lost profits or revenue, even if advised of the possibility.
  • Each party’s total aggregate liability arising out of or relating to these Terms is capped at the fees you paid us in the 12 months preceding the claim.
  • The cap and exclusions do not apply to: (a) your payment obligations, (b) breaches of acceptable use, (c) infringement of the other party’s IP, or (d) liability that cannot be limited by law (e.g. gross negligence, willful misconduct).

10. Indemnification

You will defend, indemnify, and hold Marq-OS harmless from claims arising out of your Customer Content, your violation of these Terms, or your violation of any law or third-party right. We will defend, indemnify, and hold you harmless from third-party claims that the Service as provided by us infringes their IP rights, subject to standard process and remedy limitations.

11. Termination

  • You may cancel your subscription anytime from Settings → Billing.
  • We may suspend or terminate the Service for material breach of these Terms (including non-payment), with notice and a 14-day cure period for breaches that are curable.
  • On termination, you can export your data within 30 days; after that, we delete it per our Privacy Policy.

12. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-laws rules. The courts of Bengaluru, Karnataka have exclusive jurisdiction over any dispute, except either party may seek injunctive relief in any competent court to protect its IP or confidential information. Customers outside India may have additional rights under local consumer law that these Terms do not override.

13. Changes to these Terms

We may update these Terms as the product evolves. We’ll change the “Last updated” date above and, for material changes, give 30 days’ notice via email or in-app banner. Continued use after the effective date constitutes acceptance.

14. Miscellaneous

These Terms (together with the Privacy Policy and any order form) are the entire agreement between us, supersede prior agreements on the same subject, and may not be assigned by you without our consent (except in connection with a merger or sale of all assets). If any provision is unenforceable, the rest stays in effect.
